Karin Alvo, a partner in KLA’s Corporate Law, Mergers and Acquisitions practice, will be in Rio de Janeiro on September 10 and 11 to participate in the conference “Key Developments in Latin American Transactions and Their Financing: A Look at the Present and the Future,” organized by the IBA (International Bar Association) Securities and Capital Markets Committee. The event will take place at the Fairmont Copacabana.
On September 11, from 9:15 a.m. to 10:45 a.m., Karin will serve as a speaker on the panel “Business Combinations in the Capital Markets and Rights of Minority Shareholders,” alongside Chantal Kordula (Cleary Gottlieb Steen & Hamilton LLP), Carlos Mello (TozziniFreire Advogados), and Fabiana Sakai (Milbank). The session will be moderated by Monique Mavignier (BMA Advogados) and Aline Menezes (UBS).
The discussion will examine recent transactions conducted in conflict-of-interest scenarios and the applicable case law, focusing on transactions involving controlling shareholders and publicly or privately held companies, as well as the fiduciary liability risks associated with such deals.
The conference brings together international experts to discuss topics including acquisition financing, infrastructure financing, climate finance opportunities, regulatory challenges in the fintech sector, reverse IPOs, sustainable investments, and tender offers.
